One of the most difficult tasks for many Boards of Directors is defining the difference in their role and the role of the chief executive. It isn’t easy and it often isn’t clear. The yellow line that magically appears on the television screen during football games indicates the target for the next first down and is easy to spot by the viewer’s but it is invisible to the players on the field. If only it were that easy for Boards to define their target for effective Board performance!
